1. Agreement to Terms

By accessing our website, requesting a quote, scheduling services, or engaging Arc Inspection Services for any Non-Destructive Testing (NDT), inspection, testing, welder qualification, third-party inspection, or related services (“Services”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our website or Services. These Terms govern all Services unless a separate written agreement signed by an authorized representative of the Company expressly modifies them. In the event of a conflict, the signed agreement controls.

2. Description of Services

We provide professional NDT and inspection services, including but not limited to:

  • Visual Testing (VT)
  • Radiographic Testing (RT)
  • Ultrasonic Testing (UT), including thickness and weld examination
  • Magnetic Particle Testing (MT)
  • Liquid Penetrant Testing (PT)
  • Positive Material Identification (PMI)
  • Welder testing and qualification support
  • Third-party inspection and related quality assurance service

Services are performed in accordance with applicable industry standards (e.g., ASNT, AWS, API, ASME, ASTM, client specifications, and relevant codes) as agreed in writing for each engagement. We perform only the specific scope of work set forth in the applicable quotation, work order, or written authorization.

3. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information, drawings, specifications, access, and site conditions necessary for the Services.
  • Ensure safe and reasonable access to the inspection site, including any required permits, clearances, scaffolding, lighting, or surface preparation.
  • Comply with all applicable safety rules, site requirements, and regulations.
  • Make all decisions regarding the use, repair, modification, acceptance, or rejection of any inspected item based on our reports. We do not make engineering, design, or repair recommendations unless expressly contracted to do so.
  • Pay all fees as agreed.

4. Quotations, Orders, and Payment

Quotations are valid for the period stated (typically 30 days) and are subject to change based on actual site conditions, scope changes, or delays.

Payment terms are as stated on the invoice or quotation (commonly net 30 days unless otherwise agreed). Late payments may accrue interest at the maximum rate permitted by law and may result in suspension of Services or withholding of reports. You are responsible for all applicable taxes, travel, mobilization, demobilization, and extra charges arising from Client delays, restricted access, or scope changes.

5. Reports and Use of Results

Inspection reports, data, films, digital images, and related deliverables represent our good-faith professional opinion based on the methods, standards, and information available at the time of inspection.

Reports are not:

  • Warranties or guarantees of merchantability, fitness for a particular purpose, structural integrity, or code compliance beyond the stated scope.
  • Engineering certifications or design approvals.
  • Intended for reliance by third parties without our prior written consent.

Client is solely responsible for any decisions made in reliance on the reports. Third-party reliance is prohibited unless we provide written authorization. Reports are for the Client’s internal use only unless otherwise agreed.

6. Standard of Care and Disclaimer of Warranties

We will perform Services with the degree of care and skill ordinarily exercised by qualified NDT professionals under similar circumstances in the same locality.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A SIGNED AGREEMENT, ALL SERVICES AND REPORTS ARE PROVIDED “AS IS.” WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee detection of every discontinuity or defect. Inspection results reflect conditions at the time of testing and may change thereafter.

7. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability arising out of or related to any Services or these Terms (whether in contract, tort, negligence, or otherwise) shall not exceed the total fees paid by Client for the specific Services giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, downtime, business interruption, or loss of use, even if advised of the possibility of such damages.
  • We are not liable for Client’s decisions based on our reports, for latent conditions not detectable by the agreed methods, or for conditions that change after inspection.

These limitations apply even if any remedy fails of its essential purpose.

8. Indemnification

Client agrees to indemnify, defend, and hold harmless Arc Inspection Services, LLC and its officers, employees, agents, and subcontractors from and against any claims, damages, losses, costs (including reasonable attorneys’ fees) arising out of or related to: (a) Client’s use of or reliance on the reports or Services; (b) Client’s breach of these Terms; (c) site conditions or safety issues under Client’s control; or (d) third-party claims arising from Client’s project or decisions.

9. Confidentiality and Intellectual Property

We will treat Client’s proprietary information as confidential and use it only for performing the Services. All methods, procedures, report formats, and work product created by us remain our intellectual property. Client receives a limited, non-exclusive license to use the specific reports for the intended project purpose. Client may not reproduce, distribute, or modify reports without our written consent except as needed for the project.

10. Safety and Site Conditions

Safety is paramount. We reserve the right to refuse or suspend Services if site conditions are unsafe or if required information/access is not provided. Client remains responsible for overall site safety and compliance with OSHA and other applicable regulations.

11. Cancellation and Termination

Either party may terminate an engagement for convenience with reasonable notice (subject to payment for work performed and reasonable demobilization costs). We may terminate immediately for non-payment, safety concerns, or material breach by Client.

12. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control (including weather, equipment failure not caused by negligence, acts of God, labor disputes, or government actions).

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved, exclusive venue shall be in the state or federal courts located in Denton County or the Northern District of Texas.

14. Changes to Terms

We may update these Terms from time to time. The updated version will be posted on our website with a new “Last Updated” date. Continued use of Services after changes constitutes acceptance. Material changes affecting existing engagements will be communicated as appropriate.

15. Miscellaneous

  • These Terms constitute the entire agreement between the parties regarding the subject matter and supersede prior discussions.
  • If any provision is found unenforceable, the remaining provisions remain in full force.
  • Failure to enforce any right does not constitute a waiver.
  • We may use subcontractors; we remain responsible for their performance under these Terms.
  • Notices shall be sent to the addresses above (or as updated in writing).
